1. About Pace Audio

Pace Audio is an Australian creative platform offering AI-assisted tools, project management features, and industry resources for independent musicians, artists, and creative professionals. These Terms & Conditions ("Terms") govern your access to and use of the Pace Audio website, platform, and all associated services ("Services").

By creating an account, accessing any feature, or making a purchase, you agree to these Terms in full. If you do not agree, you must not use our Services.

2. Account Access & Registration

To access certain features of the platform, you must create an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and not share them with others
• Notify us immediately of any unauthorised access to your account
• Take full responsibility for all activity that occurs under your account
• Be at least 13 years of age to create an account

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the platform.

3. AI Tools & Generated Outputs

Pace Audio provides AI-powered tools including (but not limited to): Lyric Humaniser, Song Generator, Music Video Concept, Spotify Pitch, Release Planner, Studio Planner, Artwork Generator, and Song Analyser. By using these tools, you acknowledge and agree that:

• AI outputs are generated based on your prompts and inputs — results may vary and are not guaranteed to be accurate, original, or commercially viable
• You are solely responsible for reviewing, editing, and verifying all generated content before any public, commercial, or professional use
• Pace Audio does not warrant that generated outputs are free from copyright infringement, defamation, or other legal issues
• AI-generated content does not constitute professional legal, financial, or business advice
• You must not submit prompts that include personal data of third parties without their consent, illegal content, or content that violates these Terms
• Pace Audio reserves the right to limit, suspend, or modify AI tool access at any time

4. User Prompts & Uploaded Files

When you submit prompts, lyrics, creative briefs, or upload files to the platform:

• You retain ownership of your original content and any intellectual property rights associated with it
• You grant Pace Audio a limited, non-exclusive licence to process and store your content solely for the purpose of delivering the requested service
• You confirm that you hold all necessary rights, licences, and permissions for any content you upload or submit
• You must not upload content that is unlawful, defamatory, infringing, obscene, or in violation of any third-party rights
• Inputs may be transmitted to third-party AI APIs to generate outputs — see our Privacy Policy for details on data handling
• We do not use your prompts or outputs to train AI models without your explicit consent

5. Intellectual Property

Your Content

You retain ownership of any original content you create, upload, or input into the platform. Pace Audio does not claim ownership over your lyrics, music, artwork, or other original creative works.

AI-Generated Outputs

Ownership of AI-generated outputs is a developing area of law in Australia and internationally. While we assign any rights we may hold in generated outputs to you, we make no warranty that AI-generated content is original or free from third-party intellectual property claims. You are responsible for conducting any necessary clearances before commercial use.

Pace Audio Platform

All platform software, design, branding, tool interfaces, copy, and underlying technology remain the exclusive intellectual property of Pace Audio. You may not reproduce, modify, reverse-engineer, or redistribute any part of the platform without express written permission.

6. Paid Memberships & Billing

Pace Audio offers paid membership plans that unlock additional AI tools, features, and the Network Vault. By subscribing to a paid plan:

• You authorise us to charge your nominated payment method on a recurring basis (monthly or annually as selected)
• Payments are processed securely by Stripe — Pace Audio does not store your full card details
• Membership fees are charged in Australian Dollars (AUD) unless otherwise stated
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings — cancellation takes effect at the end of the current paid period
• Pace Audio does not offer refunds for partial billing periods unless required by Australian consumer law
• We reserve the right to modify pricing with at least 30 days notice — continued use after the notice period constitutes acceptance of the new pricing
• Access to paid features will cease at the end of your final billing period following cancellation

Nothing in these Terms limits any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

7. Acceptable Use

You agree not to use the Pace Audio platform to:

• Violate any applicable Australian or international laws or regulations
• Submit, upload, or generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene
• Infringe the intellectual property, privacy, or other rights of any third party
• Attempt to access, tamper with, or disrupt our systems, servers, or networks
• Scrape, crawl, or systematically extract data from the platform without authorisation
• Use automated bots, scripts, or tools to access features in a manner not intended for human users
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Engage in any activity that places an unreasonable load on our infrastructure
• Resell, sublicense, or commercially exploit platform features without prior written authorisation
• Generate content intended to deceive, defraud, or mislead other users or third parties

Violations of this acceptable use policy may result in immediate account suspension or termination, at our sole discretion.

8. Third-Party AI Processing

Our AI tools rely on third-party AI service providers (including but not limited to OpenAI and Google) to process your inputs and generate outputs. By using these tools, you agree that:

• Your prompts and inputs may be transmitted to these providers for processing
• These providers operate under their own terms of service and privacy policies
• We are not liable for the outputs generated by third-party AI models
• Cross-border data transfers may occur as part of AI processing — refer to our Privacy Policy for details

9. Disclaimers & Limitation of Liability

To the maximum extent permitted by law:

• The Pace Audio platform and all AI-generated outputs are provided "as is" and "as available" without warranties of any kind
• We do not warrant that the platform will be uninterrupted, error-free, or free from viruses or harmful components
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform
• Our total liability to you for any claim arising under these Terms shall not exceed the total amount paid by you in the 12 months preceding the claim
• We are not responsible for any loss of data, revenue, reputation, or business opportunity arising from use of or reliance on AI-generated content

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee or right under the Australian Consumer Law that cannot be excluded by agreement.

10. Network Vault & Resource Library

Access to the Network Vault and Resource Library is available to subscribers on eligible membership plans. By using these features:

• You acknowledge that contact details, submission routes, and resource information are provided in good faith but may change without notice
• Pace Audio does not guarantee results from any contact, submission, or resource listed in the Vault
• You must use resource information for legitimate, professional purposes only
• You must not redistribute, resell, or publicly publish the resource data from the Network Vault
• We reserve the right to update, restrict, or remove Vault content at any time

11. Termination

You may close your account at any time by contacting us. We reserve the right to suspend or terminate your account without notice if you breach these Terms, engage in fraudulent or unlawful behaviour, or misuse the platform. Upon termination, your access to all features and stored data will cease. We may retain certain information as required by law or for legitimate business purposes.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia for the resolution of any dispute arising under or in connection with these Terms.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the platform. Continued use of the platform after changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
